Channel Promotion Cooperation Agreement

1. General Provisions

This Agreement is a legal agreement between YuoBao Mall (the "Platform") and channel promoters (the "Promoter") concerning the use of the Platform's channel promotion services.

2. Promoter Eligibility

1. The Promoter must be a natural person with full civil capacity or a lawfully registered legal entity;

2. The Promoter must complete registration on the Platform and submit a promotion application, and may become a formal Promoter only after the Platform approves it;

3. The Platform has the right to reject any promotion application at its own discretion.

3. Promotion Methods

1. The Promoter promotes through the exclusive referral code and referral link generated by the Platform;

2. The Promoter shall promote lawfully and compliantly, and shall not use any of the following methods:

  • Publishing false or misleading information
  • Harassing promotion such as spam email or spam text messages
  • Impersonating the Platform's official identity
  • Using referral links for order manipulation or fake transactions
  • Other conduct that violates laws or regulations or damages the Platform's reputation

4. Commission and Settlement

1. The commission rate is determined by the Platform based on product category and promotion rules, subject to the Platform's announcements;

2. Commission arises only from actual transactions completed after a customer registers through the referral link or code;

3. Products purchased by the Promoter personally do not count towards commission;

4. Commission is settled monthly, on a fixed date each month set by the Platform.

5. Handling of Violations

If the Promoter engages in any of the following, the Platform has the right to suspend or revoke the promotion qualification:

  • Promotion methods that violate Article 3 of this Agreement
  • Fraudulent conduct such as fake transactions or order manipulation
  • Conduct that harms the lawful rights and interests of the Platform or users
  • Other conduct that violates laws or regulations

6. Miscellaneous

1. The interpretation, validity and resolution of disputes under this Agreement are governed by the laws of the People's Republic of China;

2. The Platform has the right to amend this Agreement as its business develops; the amended Agreement takes effect once published on the Platform;

3. Continued use of the promotion services by the Promoter constitutes acceptance of the amended Agreement.
