1. Confirmation and Acceptance of the Terms of Service

(1) The ownership and operating rights of the various electronic services of the YuoBao website (meaning the relevant websites and client applications lawfully owned and operated by YuoBao Network Studio and its affiliates, hereinafter referred to as "this Website", the "YuoBao Platform" or the "Platform") belong to "YuoBao", and the services provided by this Website will be strictly performed in accordance with the terms of service and operating rules it publishes. When you confirm all the terms of service and complete the registration procedure, this Agreement is formed between you and this Website and takes legal effect, and you thereby become a formal user of this Website.

(2) The YuoBao Platform operators mean the various legal entities that operate the YuoBao Platform; YuoBao may change or add to them in accordance with adjustments to the Platform's business. You may at any time check the licence and certificate information published at the bottom of the home page of each website of the YuoBao Platform in order to determine the YuoBao entity that is performing this Agreement with you.

(3) The YuoBao Platform Privacy Policy, the Platform Rules and separate agreements are all supplementary agreements to this Agreement; they are inseparable from this Agreement and have the same legal effect. If you use the YuoBao Platform services, you are deemed to have agreed to the above supplementary agreements.

(4) When you use a particular service on this Website, that service may be subject to separate agreements and related business rules (collectively referred to as the "Separate Agreements"). Please read and agree to the relevant Separate Agreements before using that service; your use of the aforementioned particular service is deemed to constitute your having read and agreed to accept the relevant Separate Agreements.

(5) In light of changes in national laws and regulations and the operational needs of this Website, YuoBao has the right to amend the terms of this Agreement and the related rules from time to time. The amended content will be announced on this Website in any form in accordance with the law and will supersede the previously corresponding content. You should pay attention from time to time to changes in announcements, notices, agreements, rules and other related content on this Website. You acknowledge and confirm that if you do not agree with the updated content, you should immediately stop using this Website; if you continue to use this Website, you are deemed to be aware of the changed content and to agree to accept it.

(6) Unless otherwise expressly stated in writing, YuoBao makes no representation or warranty of any kind, express or implied, with respect to the operation of this Website and the information, content, materials, products (including software) or services contained on this Website (except where otherwise provided by the laws of the People's Republic of China).

(7) Please give particular attention to those clauses of this Agreement that are prominently marked in bold. Your clicking of the "Agree" button is deemed to constitute your full acceptance of this Agreement; before clicking, please confirm once again that you are aware of and fully understand all the content of this Agreement.

2. Service Notice

(1) This Website uses systems developed by itself to provide users with services such as the purchase of goods through the international internet. To use this Website, you must:

1. Equip yourself with the equipment needed for internet access, including a personal mobile phone, a tablet computer, a modem, a router, etc.;

2. Bear yourself the telephone charges, network charges and other charges relating to this service that arise from your own internet access;

3. Choose the software version matching the terminal device you have installed, including but not limited to the various application versions released by YuoBao for IOS, Android, HarmonyOS, Windows and others.

(2) On the acquisition and updating of the mobile client software: (not yet available)

1. You may obtain the YuoBao mobile client software directly from the YuoBao website, or from a third party authorised by YuoBao. If you obtain software from a third party not authorised by YuoBao, or obtain an installer bearing the same name as the YuoBao mobile client software, YuoBao cannot guarantee that the software will function properly and will not be liable for the losses caused to you as a result;

2. In order to improve the user experience and perfect the service content, YuoBao will continue to strive to develop new services and will provide you with software updates from time to time. After a new version is released, the old version of the software may no longer be usable; YuoBao does not guarantee the continued availability of the old version of the software or the corresponding customer service. Please check and download the latest version at any time.

3. Account Registration, Management and Use

(1) User eligibility

You confirm that, before you begin the registration procedure and use the YuoBao Platform services, you should have independent civil capacity commensurate with your acts as provided by the laws of the People's Republic of China. If you do not have the aforementioned civil capacity commensurate with your acts, please do not register on this Platform.

In addition, you must also ensure that you are not a target of trade restrictions, economic sanctions or other restrictions under laws and regulations imposed by any country, region or international organisation, and that you have not directly or indirectly provided funds, goods or services to any of the aforementioned targets; otherwise you should stop using the YuoBao Platform services. At the same time, you understand that breach of the aforementioned requirements may result in your being unable to register for and use the YuoBao Platform services normally.

(2) Account registration

1. After you fill in the information prompted on the registration page, read and agree to this Agreement and complete all the registration procedures, you may obtain a YuoBao Platform account and become a YuoBao Platform user. The YuoBao account name/nickname/avatar and other such particulars that you set must not violate the administrative provisions on account registration contained in national laws and regulations or in the relevant rules of the YuoBao Platform. You may not, without the permission of another person, open an account in that person's name (including but not limited to impersonating another person's name, designation, trade name, avatar, etc., or adopting any other means capable of causing confusion), and you may not maliciously register a YuoBao account. Otherwise YuoBao has the right to refuse to set, or to reclaim, your account name/nickname. The reclamation of an account name does not affect your ability to log in to the YuoBao Platform with your email address or mobile phone number and to use the YuoBao Platform services.

2. In principle, the YuoBao Platform permits each user to use only one YuoBao Platform account. If there is evidence proving, or if YuoBao determines in accordance with the YuoBao Platform Rules, that you have improperly registered or improperly used multiple YuoBao Platform accounts, the YuoBao Platform may take measures such as freezing or closing accounts, cancelling orders and refusing to provide services; if losses are caused to the YuoBao Platform and the related parties, you shall also bear liability for compensation.

3. When using the YuoBao Platform services, you should, following the prompts on the pages of the YuoBao Platform, provide your information accurately and completely (including your name and email address, contact telephone number, contact address, etc.), so that YuoBao or other service providers can contact you. You understand and agree that you are obliged to keep the information you provide truthful and valid.

(3) Account login

You have the right to log in to the YuoBao Platform using the YuoBao user name and mobile phone number that you have set or confirmed (hereinafter referred to as the "Account Name") together with the password you have set (the Account Name and the password are together referred to as the "Account"), or, through authorisation, using a third-party software or platform user account that you lawfully hold (such as a WeChat account, a QQ account, etc.), except where the third-party software or platform restricts or prohibits this. Where you log in and use the services with the aforementioned existing account, the relevant clauses of this Agreement likewise apply.

You understand and agree that, besides logging in to the YuoBao Platform, you may also use your YuoBao account to log in to other software and services provided by YuoBao, its affiliates or other partners. Where you use your YuoBao account to log in to the aforementioned services, you shall likewise be bound by the user agreement and other terms of the actual provider of those other software and services.

(4) Real-name verification

As the operator of the YuoBao Platform, and in order to enable you to make better use of the various services of the YuoBao Platform and to safeguard the security of your account, YuoBao may require you to complete real-name verification in accordance with the provisions of the relevant laws and regulations.

(5) Updating and maintenance

You should update the information you provide in a timely manner. Where the law expressly requires that YuoBao, as a platform service provider, must verify the information of certain users, YuoBao will from time to time examine and verify your information in accordance with the law, and you should cooperate by providing the latest, truthful, complete and valid information.

If YuoBao fails to reach you using the information you last provided, if you fail to provide information in a timely manner as required by YuoBao, if the information you provide is obviously untrue, or if an administrative or judicial authority verifies that the information you provided is invalid, you shall bear all the losses and adverse consequences thereby caused to yourself, to others and to YuoBao. YuoBao may send you a notice of enquiry or a notice requiring rectification, and require you to undergo re-verification, until it suspends or terminates the provision to you of part or all of the YuoBao Platform services; YuoBao bears no liability for this.

(6) Account management

1. As your YuoBao Platform account is linked to your personal information and to YuoBao Platform business information, your YuoBao Platform account is for your own use only. You shall be responsible for all the consequences of acts performed under your account, and you may not transfer it in any manner; otherwise the YuoBao Platform has the right to hold you liable for breach of contract, and the liabilities and consequences arising therefrom shall all be borne by you yourself. The consequences of your directly or indirectly authorising a third party to use your YuoBao Platform account or to obtain the information under your account shall likewise be borne by you yourself. If YuoBao determines, in accordance with the procedures and standards for determining breach of contract agreed in the YuoBao Platform Rules, that the use of your YuoBao Platform account may endanger the security of your account and/or the information security of the YuoBao Platform, the YuoBao Platform may refuse to provide the corresponding services or terminate this Agreement.

2. Your account is set by you yourself and kept by you; YuoBao will never at any time take the initiative to ask you to provide your account password. You are therefore advised to keep your account safe and to ensure that at the end of each online session you log out and leave the YuoBao Platform by the correct steps.

3. YuoBao does not bear liability for losses and consequences arising from your own disclosure of the account or from your being subjected to attacks, fraud and similar acts by others; you should seek recovery from the infringing party through judicial, administrative and other remedies. If you discover any unauthorised use of your account to log in to the YuoBao Platform, or any other circumstance that may lead to your account being stolen or lost, you are advised to notify YuoBao immediately. You understand that it takes a reasonable amount of time for YuoBao to take action on any of your requests, and that action taken by YuoBao at your request may be unable to avoid or prevent the occurrence or aggravation of the consequences of an infringement; except where YuoBao is at fault as provided by law, YuoBao bears no liability.

4. You understand and agree that, in order to make full use of account resources, if after registration you do not promptly log in and use the account for the first time, or if you do not log in to any YuoBao Platform for 12 consecutive months, and there is no valid business with an unexpired term, YuoBao has the right to reclaim your account, you may be unable to log in to the YuoBao Platform with the account you previously held, and any personalised settings under that account (such as the avatar/nickname) will no longer be recoverable. Before reclaiming your account, YuoBao will give a prompt in an appropriate manner; if you still do not log in to or use the account within a certain period after receiving the relevant prompt, YuoBao will reclaim the account.

(7) Account cancellation

If you need to terminate the use of the YuoBao account service and you meet the following conditions, you may apply to cancel your account: (1) you may apply to cancel only your own account, and the cancellation shall be carried out in accordance with the "YuoBao Account Cancellation Notice"; (2) you shall still bear responsibility for your acts during the period in which you used the YuoBao account service before cancelling the account. You are particularly reminded that, where you apply for and agree to cancel your account, this is deemed to constitute your waiver of the account information and of the assets, virtual rights and interests, etc. of that account on the Platform, and YuoBao will be unable to restore the aforementioned services for you. This may cause you inconvenience in asserting after-sales service.

4. YuoBao Platform Services

You have the right to enjoy on the YuoBao Platform services such as browsing, favouriting, purchasing and reviewing goods and/or services, delivery and handover, Platform activities, handling of transaction disputes, and information exchange and sharing. For details, you may log in to the YuoBao Platform to check.

(1) Browsing and favouriting of goods and/or services

While you browse our website or client, YuoBao provides you with functions such as information categorisation, keyword search, filtering, favouriting and following, so as to better match your needs. You may favourite the goods and/or services you are interested in, add them to the shopping cart, and follow the shops/brands you are interested in.

(2) Purchase of and reviews on goods and/or services

1. When you purchase goods and/or services on the YuoBao Platform, please carefully confirm the name, price, quantity, model, specification, size, contact address, telephone number, consignee and other information of the goods purchased. Where the consignee is not you, the acts and expressions of intent of the consignee are deemed to be your acts and expressions of intent, and you shall bear joint and several liability for the legal consequences of the acts and expressions of intent of the consignee.

2. Your purchasing acts shall comply with the law: you shall purchase and use goods or accept services for the needs of daily consumption, and you shall not engage in malicious purchasing of goods and/or services, malicious assertion of rights, or other acts that disrupt the normal transaction order of the YuoBao Platform. For the purpose of maintaining the transaction order and transaction security of the YuoBao Platform, when YuoBao discovers the above circumstances it may on its own initiative carry out operations including but not limited to suspending or stopping services and cancelling orders, and other control measures that YuoBao considers necessary.

3. You understand and agree that: the information on goods and prices, etc. displayed by sellers on this Website is merely an invitation to offer; when placing an order you must fill in the quantity of the goods you wish to purchase, the price and the payment method, the consignee, the contact details, the delivery address (the place of performance of the contract), the method of performance of the contract and other such particulars; the order information generated by the system is data automatically generated by the computer information system from the content you fill in, and constitutes merely an offer of contract made by you to the seller; after the seller receives your order information, a contractual relationship between you and the seller in respect of the goods actually and directly dispatched to you is established only when the seller actually and directly dispatches to you from the warehouse the goods you ordered in the order (as evidenced by the goods leaving the warehouse); if you order multiple kinds of goods in one order and the seller dispatches only part of the goods to you, a contractual relationship between you and the seller is established only in respect of the goods actually and directly dispatched to you, and a contractual relationship between you and the seller in respect of the other goods ordered in that order is established only when the seller actually and directly dispatches those other goods to you; for non-physical goods such as e-books, digital music, online mobile phone top-ups, air tickets and travel products, the contract is established once you place the order and pay the price. Where, as a consumer, you place an order and pay the price for the needs of daily consumption, once your payment of the price succeeds it is deemed that a contractual relationship has been established between you and the seller in respect of the part of the order for which the price has been paid.

4. Despite the seller's greatest efforts, owing to market changes and the influence of various factors that are difficult to control by reasonable commercial efforts, this Website cannot avoid situations in which goods in the order information you submit are out of stock or their prices are incorrectly marked, and so on; if the goods you ordered and purchased fall within the above circumstances, you have the right to cancel the order, and the seller likewise has the right to cancel the order on its own initiative; if you have already paid, a refund will be arranged for you and an order handling proposal will be provided.

5. You have the right, in the review system provided by the YuoBao Platform, to review the goods and/or services of other users with whom you have concluded a transaction. You should understand that your review information on the YuoBao Platform is public; if you do not wish to disclose your identity information to the public in your review information, you have the right to publish the review content in anonymous form.

6. In order to ensure that review content can provide consumers with a reliable basis for shopping decisions and reflect the true situation of the goods and/or services, all your review acts shall comply with the relevant provisions of the YuoBao Platform Rules; the review content shall be lawful, objective and truthful, and related to the goods and/or services transacted, and shall not contain any foul language, pornographic or vulgar content, advertising information, or other prohibited information specified in laws and regulations and in this Agreement; you shall not improperly help others to raise their credit, nor use the right of review to threaten or extort other users. YuoBao may, in accordance with the relevant provisions of the YuoBao Platform Rules, take necessary measures to deal with review information generated by your commission of the above acts.

(3) Delivery and handover

The goods you purchase on this Website will be delivered to the delivery address you designate on this Website. The delivery time listed in the order information is a reference time, and the reference time is calculated by estimation on the basis of the inventory status, the normal processing procedure and delivery time, and the delivery location. You should clearly and accurately fill in your delivery address, contact person, contact details and other delivery information; you acknowledge and confirm that the goods you purchase should be received only by the contact person you have filled in after identity verification, and that losses caused by your changing the contact person or the relevant delivery information shall be borne by you yourself.

Where an order is delayed or cannot be delivered, and so on, owing to the following circumstances, this Website will not be able to bear liability for the delayed or failed delivery:

1. The customer provides incorrect information and an incomplete address;

2. No one signs for the goods on delivery or the goods are refused, and the costs arising from the resulting repeated delivery and the related consequences.

3. Force majeure, such as natural disasters and severe weather, acts, decisions or orders of governments or judicial authorities such as traffic curfews, accidental traffic accidents, strikes, amendments to laws, regulations and policies, terrorist incidents, violent crimes such as robbery and snatching, sudden outbreaks of war, etc.

Where the goods you purchase on this Website are delivered to you by an affiliate of YuoBao or a third-party delivery company (including SF Express, FedEx, etc., hereinafter referred to as the "Delivery Company"), the time of signing for receipt recorded by the system or on the documents shall be the time of delivery; where the goods you purchase are delivered by way of online transmission, the time at which the seller sends them to the system you designate shall be the time of delivery; where you purchase services, the time stated in the electronic or physical voucher or in the order generated shall be the time of delivery.

(4) Platform activities

The Platform carries out various activities from time to time. Before participating in an activity, you should enter the corresponding activity page and carefully read and fully understand the activity rules; your participation in the activity is deemed to constitute your having fully read and understood those activity rules and your voluntary acceptance of their binding effect. If, in the course of reading the activity rules, you do not understand or do not agree with any part of them, please stop participating in the relevant activity. You understand and agree that, if your order or an activity you participate in violates the restrictive requirements, YuoBao has the right to take one or more handling measures such as cancelling the order, cancelling the eligibility for the activity and revoking activity rewards, without bearing any liability.

(5) Handling of transaction disputes

Where you have a dispute with another user in the course of a transaction on the YuoBao Platform, you or any party among the other users has the right to choose the following channels for resolution:

1. Negotiation with the opposing party to the dispute on your own initiative;

2. Use of the customer service provided by the YuoBao Platform;

3. Request for mediation by a consumers association or another mediation organisation lawfully established;

4. Complaint to the relevant administrative department;

5. Submission to an arbitration institution for arbitration in accordance with the arbitration agreement reached with the opposing party to the dispute (if any);

6. Bringing a lawsuit before a people's court.

You understand and agree that the customer service of the YuoBao Platform is not composed of professionals and can only judge the evidence submitted by users with the cognition of an ordinary person. Therefore, except in cases of intent or gross negligence, YuoBao does not bear liability for the outcome of the dispute resolution. If you are dissatisfied with the outcome of the dispute resolution, you still have the right to resolve the dispute through other channels of dispute handling.

(6) Information exchange and sharing

In order to meet users' needs for information exchange such as sharing shopping experiences, you may use the Q&A, order-sharing, group and other information publishing functions provided by YuoBao to publish information publicly and interact with other users by commenting, replying, leaving messages, liking, etc.; you must ensure that all the information you publish complies with the requirements of the relevant laws and regulations and of this Agreement.

5. Orders

(1) When you use this Website to place an order, please carefully confirm the name, price, quantity, model, specification, size, telephone number, consignee and other information of the goods purchased. The acts and expressions of intent of the purchaser and of the consignee are deemed to be your acts and expressions of intent, and you shall bear joint and several liability for the legal consequences of the acts and expressions of intent of the purchaser and the consignee.

(2) You understand and agree that: the information on goods and prices, etc. displayed on this Website is merely an invitation to offer; when placing an order you must fill in the quantity of the goods you wish to purchase, the payment method, the consignee, the contact details, the delivery address (the place of performance), the method of performance and other such particulars; the order information generated by the system is data automatically generated by the computer information system from the content you fill in, and constitutes merely an offer made by you to this Website; after this Website receives your order information, a civil legal relationship between you and this Website in respect of the goods actually dispatched to you is established only when this Website actually dispatches to you from the warehouse the goods you ordered in the order (as evidenced by the goods leaving the warehouse); if you order multiple kinds of goods in one order and this Website dispatches only part of the goods to you, a civil legal relationship between you and this Website is established only in respect of the part of the goods actually dispatched to you, and a civil legal relationship between you and this Website in respect of the other goods ordered in that order is established only when this Website actually dispatches those other goods to you.

(3) Subject to market changes and the influence of various factors that are difficult to control by reasonable commercial efforts, this Website, despite its greatest efforts, still cannot avoid situations in which part of the goods in the order information you submit are out of stock, or are subject to promotions, or their prices are incorrectly marked, and so on; if the goods you ordered and purchased fall within the above circumstances, you have the right to cancel the order, and this Website likewise has the right to cancel the order on its own initiative; if you have already paid, a refund will be arranged for you.

6. Delivery and Handover

(1) The goods you purchase on this Website will be delivered in accordance with the pick-up method you choose on this Website. You should clearly and accurately fill in your delivery address, contact person, contact details and other delivery information; you acknowledge and confirm that the goods you purchase should be received only by the contact person you have filled in after identity verification, and that losses caused by your changing the contact person or the relevant delivery information shall be borne by you yourself.

(2) Where an order is delayed or cannot be delivered, and so on, owing to the following circumstances, this Website will not be able to bear liability for the delayed or failed delivery:

1. The customer provides incorrect receipt information and an incomplete address;

2. No one signs for the goods of a mailed order on delivery or the goods are refused, and the costs arising from the resulting repeated delivery and the related consequences;

3. Force majeure, such as epidemics, natural disasters and severe weather, acts, decisions or orders of governments or judicial authorities such as traffic curfews, accidental traffic accidents, strikes, amendments to laws, regulations and policies, terrorist incidents, violent crimes such as robbery and snatching, sudden outbreaks of war, etc.

(3) This Website delivers to the designated place and to the designated consignee in accordance with the receipt information determined by your order. Once the goods are signed for they are deemed delivered, and you should inspect on the spot the surface condition of the goods, including their category, specification, model, quantity and packaging. You should collect the goods in a timely manner; goods will not be returned or exchanged otherwise than for a genuinely verifiable quality problem. If you have any objection to the quality of the goods, you should raise it with this Website promptly after delivery of the goods, and this Website will deal with it promptly according to the actual circumstances.

(4) Where the goods you purchase on this Website are delivered to you by this Website or by a third-party delivery company, the time of signing for receipt recorded by the system or on the documents shall be the time of delivery.

7. After-sales Service

(1) This Website provides the relevant after-sales service in accordance with the relevant provisions of the State and the provisions of the manufacturer.

(2) If you have any comments or suggestions on the goods and/or services provided by this Website, you may contact our company in the following ways:

2. Call the telephone number of your dedicated customer service manager; all members will receive information about their dedicated contact person.

8. Settlement Method and Invoices

(1) Where you submit a valid procurement order on the Platform, the settlement method shall be chosen by you freely from within the settlement methods indicated by the Platform.

(2) You shall ensure the truthfulness and accuracy of the invoicing information and payment information you submit, and shall ensure that the actual payer is the same as the party applying for the invoice; otherwise all losses caused thereby shall be borne by you yourself, and if actual losses are caused to the YuoBao Mall, you shall bear the corresponding liability for compensation.

9. Protection of User Personal Information and Authorisation

(1) You acknowledge and agree that, in order to facilitate your use of the relevant services of this Website, this Website will store the necessary information about you at the time of use, including but not limited to your real name, gender, date of birth, delivery address, contact details, contacts list, photo album, calendar and location information. Except in the circumstances provided by laws and regulations, YuoBao will not disclose or reveal your personal information to third parties without your permission. YuoBao adopts professional encrypted storage and transmission methods for the relevant information and uses reasonable measures to safeguard the security of users' personal information. If a website or client of the YuoBao Platform has not set up an independent privacy policy but uses a YuoBao Platform account to log in, then, in order to protect your right to privacy, we will collect, store, use, disclose and protect your personal information by reference to and in accordance with the requirements of the YuoBao Privacy Policy. YuoBao wishes to introduce clearly to you through the Privacy Policy how YuoBao handles your personal information, and therefore YuoBao suggests that you read the Privacy Policy (/privacy) in full, to help you better protect your right to privacy.

(2) You fully understand and agree that:

1. You understand and agree that you will receive, through platform channels such as email, SMS messages, telephone calls and messages, relevant order information, promotional activities, product recommendations and other such content; you have the right to obtain, through the mobile phone number or email address you filled in at registration, commercial information such as advertisements for goods you are interested in and promotional offers, and promotional or other information (including commercial and non-commercial information); if you do not wish to receive such information, you have the right to unsubscribe through the corresponding unsubscribe function provided by YuoBao.

2. In order to cooperate with administrative regulatory authorities and judicial authorities in the execution of their work, YuoBao has the right, within the scope provided by law, to provide the above administrative and judicial authorities with the relevant information stored by you when using this Website, including but not limited to your registration information, or to use the relevant information for the preservation of evidence, including but not limited to notarisation and witnessing;

3. YuoBao safeguards your right to know and right to choose during installation or use in accordance with the law. Where sensitive information of yours and sensitive permissions are involved in the course of your use of this service, we will obtain your separate consent in advance; upon your confirmation, YuoBao has the right to enable auxiliary functions necessary for the provision of the service, such as collecting geographic location, reading the contacts list and using the camera.

4. YuoBao has the right, according to the actual circumstances and within the scope provided by law, to decide on its own the maximum storage period for an individual user's data on this Website and in its services and the storage period for user logs, and to allocate to that user the maximum data storage space on the servers, and so on.

10. User Code of Conduct

(1) You agree to strictly comply with the provisions of laws, regulations and rules, and to observe the following obligations in accordance with the law:

1. You shall not create, transmit or publish the following illegal information or materials: those opposing the basic principles established by the Constitution, or inciting resistance to or sabotage of the implementation of the Constitution, laws and regulations; those endangering national security, divulging state secrets, subverting state power, undermining national unity, or inciting the overthrow of the socialist system; those harming national honour and interests; those distorting, vilifying, desecrating or denying the deeds and spirit of heroes and martyrs, or infringing the names, portraits, reputations or honours of heroes and martyrs; those advocating or inciting the commission of terrorism, extremism and related activities; remarks inciting ethnic hatred or ethnic discrimination, or undermining ethnic solidarity; those undermining the State's religious policy, or promoting cults and feudal superstition; those spreading rumours and disrupting economic and social order; those disseminating obscene, pornographic or violent content or inciting crime; those insulting or defaming others, or infringing the reputation, privacy and other lawful rights and interests of others; and other content prohibited by laws and administrative regulations.

2. You shall guard against and resist the creation, reproduction or publication of undesirable information or materials containing any of the following content: titles that are seriously exaggerated, or published content that is seriously inconsistent with the title; inappropriate commentary on disasters such as natural calamities and major accidents; incitement of discrimination against groups of people or of regional discrimination; promotion of vulgar, coarse or kitsch content; conduct violating public morality; infringement of the lawful rights and interests of minors; and other content that has an adverse impact on the network ecology.

(2) This Agreement is formulated in accordance with the relevant national laws, regulations and rules, and you also agree to strictly observe the following obligations:

1. When transmitting materials and information from the Chinese mainland to overseas, you must comply with the relevant Chinese laws and regulations;

2. You shall not use this Website to engage in money laundering, theft of trade secrets, theft of personal information or other illegal or criminal activities;

3. You shall not attempt to interfere with or disrupt the normal operation of the YuoBao system or website, or deliberately spread malicious programs or viruses or engage in other acts that disrupt or interfere with normal network information services;

4. You shall not transmit or publish any information or materials that are illegal or criminal, harassing, defamatory of others, abusive, intimidating, harmful, vulgar or uncivilised;

5. You shall not instigate others to engage in acts that violate laws or regulations or that are prohibited by this Agreement or the Platform Rules;

6. You shall not use an account registered on this Website to obtain improper benefits, launch malicious attacks, conduct illegal business activities, spread undesirable content or engage in other acts that violate laws and regulations;

7. You shall not publish any content that infringes the personal information, copyright, trademark rights or other intellectual property rights or lawful rights of others;

8. You shall not impersonate others or use their names to use the YuoBao software services or to disseminate any information, or maliciously use a registered account in a way that causes other users to mistake your identity;

9. You shall not be in possession of viruses, trojans, crawlers or other malicious software or program code that may damage, tamper with, delete or affect the normal operation of any system of the YuoBao Platform, or that may obtain without authorisation and in secret the data or personal information of the YuoBao Platform and of other users;

10. You shall not maliciously register YuoBao accounts, including but not limited to frequently or en masse registering accounts or cancelling accounts;

11. You shall not publish other content that has an adverse impact on the network ecology, or other content prohibited by laws and administrative regulations.

(3) You must bear legal liability for your own remarks and conduct online. If you spread or disseminate reactionary, pornographic or other information violating national laws on this Website, the system records of this Website may serve as evidence of your violation of the law. YuoBao may delete or block the information you publish in accordance with the law or in accordance with this Agreement.

(4) Unless permitted by law or with the written permission of YuoBao, you shall not, in the course of using this Website, engage in the following acts:

1. Deleting the copyright information on this Website and on its copies;

2. Reverse engineering, reverse assembling or reverse compiling this Website, or otherwise attempting to discover the source code of this Website;

3. Using, renting out, lending, copying, modifying, linking to, reproducing, compiling, publishing, issuing or creating mirror sites of content in which YuoBao owns intellectual property rights;

4. Copying, modifying, adding to, deleting, linking up or creating any derivative works from this Website, or from the data released into the memory of any terminal in the course of the operation of this Website, the interaction data between the client side and the server side in the course of the operation of the website, and the system data necessary for the operation of this Website, in forms including but not limited to the use of plug-ins, add-ons or third-party tools/services not authorised by YuoBao to access this Website and the related systems;

5. By modifying or forging the instructions or data in the operation of the website, adding to, deleting from or altering the functions or operating effects of the website, or operating or disseminating to the public software or methods used for the above purposes, whether or not these acts are for commercial purposes;

6. Logging in to or using this Website and its services through third-party software, plug-ins, add-ons or systems not developed or authorised by YuoBao, or producing, publishing or disseminating such tools;

7. Interfering, by yourself or by authorising others or third-party software, with this Website and its components, modules and data.

11. Rules for Use of this Website

(1) On the acquisition and updating of the mobile client software

1. You may obtain the YuoBao Mall mobile mini-program software directly from the WeChat Mini Program, or from the designated domain address. If you obtain it from the WeChat Mini Program, or obtain an installer bearing the same name as the YuoBao Mall mobile client software, YuoBao Mall cannot guarantee that the software will function properly and will not be liable for the losses caused to you as a result;

2. In order to improve the user experience and perfect the service content, YuoBao Mall will continue to strive to develop new services and will provide you with software updates from time to time. After a new version is released, the old version of the software may no longer be usable; YuoBao Mall does not guarantee the continued availability of the old version of the software or the corresponding customer service. Please check and update to the latest version at any time.

(2) Unless permitted by law or with the written permission of YuoBao Mall, you shall not, in the course of using this Website, engage in the following acts:

1. Deleting the copyright information on this Website and on its copies;

12. Liability for Breach of Contract

(1) Any of the following circumstances shall be deemed a breach of contract by you:

1. Violation of the provisions of the relevant laws and regulations when using the YuoBao Platform services;

2. Violation of the provisions agreed in this Agreement or in the supplementary agreements to this Agreement (i.e. Article 1, paragraph (3) of this Agreement).

3. In order to adapt to the development of e-commerce and to meet the massive users' demand for efficient and high-quality services, you understand and agree that YuoBao may agree in the YuoBao Platform Rules the procedures and standards for determining breach of contract. For example: YuoBao may determine whether you have committed a breach of contract on the basis of factors such as your login information, the relationship between your user data and massive user data, and the normal consumption and transaction habits of ordinary people, the habits of the express logistics industry and common sense of life; you are obliged to fully adduce evidence and give a reasonable explanation for anomalies in your data, failing which you will be determined to have committed a breach of contract.

(2) Measures for handling breach of contract

If YuoBao discovers, or receives a report or complaint from another person, that you have violated the provisions of this Agreement or have committed any malicious act, YuoBao has the right, without notice, to delete or block the relevant content at any time, and, depending on the circumstances of the act, to impose on the offending account measures including but not limited to warnings and restrictions on or prohibition of the use of part or all of its functions.

Where acts you perform on the YuoBao Platform, or acts not performed on the YuoBao Platform but affecting the YuoBao Platform and its users, constitute a breach of contract, YuoBao may, in accordance with the corresponding rules, take handling measures including but not limited to suspending the provision of part or all of the services to you and deducting losses and liquidated damages. If your act constitutes a fundamental breach of contract, then, in addition to the aforementioned handling measures, YuoBao may close or cancel your account and terminate the provision of services to you.

YuoBao has the right to publicise on the YuoBao Platform information on the above handling measures for your breach of contract, and other illegal information confirmed by effective legal instruments of national administrative or judicial authorities.

(3) Liability for compensation

If your acts cause losses to YuoBao and/or its affiliates (including its own direct economic losses, loss of goodwill, and indirect economic losses such as compensation payments, settlement payments, attorney fees and litigation costs paid to others), you shall compensate YuoBao and/or its affiliates for all the above losses. If your acts cause YuoBao and/or its affiliates to be subject to claims by third parties, YuoBao and/or its affiliates may, after assuming monetary payment and other obligations towards the third party, recover all the losses from you.

13. Termination of the Agreement

(1) Circumstances of termination

You have the right to terminate this Agreement by any of the following means:

1. Where the conditions for account cancellation publicised by the YuoBao Platform are met, cancelling your account through the method notified on the website;

2. Before a change takes effect, ceasing to use the service and expressly stating that you are unwilling to accept the change;

3. Expressly stating that you are unwilling to continue using the YuoBao Platform services, and meeting the YuoBao Platform's conditions for termination.

Where the following circumstances occur, YuoBao may notify you of the termination of this Agreement as provided in this Agreement:

1. You violate the provisions of this Agreement and YuoBao terminates this Agreement pursuant to the breach of contract clauses;

2. You misappropriate another person's account, publish prohibited information, fraudulently obtain another person's property, disrupt market order, or seek profit by improper means, and YuoBao closes your account in accordance with the YuoBao Platform Rules;

3. Apart from the above circumstances, because you have repeatedly violated the relevant provisions of the YuoBao Platform Rules and the circumstances are serious, YuoBao closes your account in accordance with the YuoBao Platform Rules;

4. Other circumstances in which the service should be terminated.

(2) Handling after termination of the Agreement

After this Agreement is terminated, YuoBao still enjoys the following rights:

1. To retain the relevant information that the platform should retain in accordance with the provisions of law;

2. In respect of your past breaches of contract, YuoBao may still hold you liable for breach of contract in accordance with this Agreement.

3. After this Agreement is terminated, in respect of the transaction orders generated during the subsistence of this Agreement, YuoBao may notify the counterparty to the transaction and decide, according to the wishes of the counterparty, whether to close such transaction orders; if the counterparty requests continued performance, you shall continue to perform, in respect of such transaction orders, this Agreement and the provisions of the transaction orders, and bear any losses arising or costs increased as a result.

14. Ownership and Intellectual Property

(1) Once you accept this Agreement, in respect of any form of information content that you provide, upload, create or publish on this Website, such as text, comments, images, photographs, videos and audio (including but not limited to customer reviews, customer enquiries and articles on various topics), you grant YuoBao and its affiliates, free of charge, an irrevocable, worldwide and exclusive licence, until the expiry of the protection period, to use the copyright (including but not limited to the right of reproduction, the right of distribution, the right of rental, the right of exhibition, the right of performance, the right of projection, the right of broadcasting, the right of communication through information networks, the right of cinematographic adaptation, the right of adaptation, the right of translation, the right of compilation, and other licensable rights that a copyright owner should enjoy), the right of portrait, the user ID name and all other related lawful rights and interests; in respect of rights and interests for which YuoBao has standing to sue, YuoBao has the right to collect evidence of and institute proceedings against third-party infringements in its own name. You agree that YuoBao and its affiliates have the right to store, use, copy, revise, edit, publish, display, translate, distribute, promote, issue, and communicate through information networks, the above information content of yours, the right to adapt it and create derivative works, and the right to incorporate the above information into other works in forms, media or technologies now known or developed in the future.

(2) YuoBao has the right to sublicense to other third parties all the rights under Article 9, paragraph 1.

(3) You shall ensure that the various types of information content under Article 9, paragraph 1, published on the YuoBao website do not involve any infringement of the portrait, privacy, intellectual property rights or other lawful rights and interests of third parties. Otherwise YuoBao has the right to take measures at any time, including but not limited to deletion and disabling of links.

(4) This Agreement already constitutes a written agreement for the licensing of copyright-related property rights and other rights under Article 26 of the Copyright Law of the People's Republic of China (the article numbers are determined in accordance with the 2020 revised version of the Copyright Law) and the provisions of the related laws, and its effect extends to any copyright-protected work content you publish on this Website, regardless of whether such content was created before or after the conclusion of this Agreement.

(5) You agree to and have fully understood the clauses of this Agreement, and undertake not to publish, in any form, information already published on this Website, or to authorise other entities to use it in any manner (including but not limited to use on websites and in media of all kinds).

(6) Unless otherwise mandatorily provided by law, and without the express special written consent of YuoBao, no entity or individual may in any manner unlawfully copy, reproduce, quote, link to, crawl or otherwise use all or part of the information content of this Website; otherwise YuoBao has the right to hold it legally liable.

(7) The materials and information published on this Website (including but not limited to text, charts, logos, button icons, images, photographs, sound and video files and their clips, digital downloads, data compilations and software) are the property of YuoBao or its content providers and are protected by the Copyright Law of China and the relevant international copyright treaties. The compilation of all content on this Website is the exclusive property of YuoBao and is protected by the Copyright Law of China and the relevant international copyright treaties. All software on this Website is the property of YuoBao, its affiliates or its software suppliers and is protected by the Copyright Law of China and the relevant international copyright treaties.

15. Service of Notices

(1) Valid address. The contact telephone number, email address and contact address you fill in under your YuoBao user account are deemed to be your valid address for notices. If the above information changes, you should update it in a timely manner; if, because the contact details you provided are inaccurate or because you fail to inform of changed contact details in a timely manner, the relevant notices (including but not limited to agreement changes and legal documents) cannot be served or are not served in a timely manner, the legal consequences that may arise shall be borne by you yourself.

(2) Service of notices. Where YuoBao sends you a notice through the above contact details, a written notice sent in electronic form — including but not limited to Platform announcements, SMS messages sent to the contact telephone number you provided, emails sent to the email address you provided, and system messages and in-site letters sent to your YuoBao user account — is deemed served once successfully sent; a written notice sent in paper form is deemed served on the fifth calendar day after it is handed to the post according to the contact address provided.

(3) Service of legal documents. For any dispute relating to YuoBao, you agree that the competent administrative, public security and judicial authorities may serve legal documents on you by SMS message, email, system message or in-site letter; a legal document is deemed served when the competent authority sends it to the above contact details; where legal documents are served on you by several of the above means at the same time, the time of service shall be that of the earliest service. You agree that the above means of service apply to the whole course of administrative, arbitration, judicial and other statutory proceedings.

16. Force Majeure and Other Grounds for Exemption

(1) You understand and agree that, in the course of using this service, you may encounter risk factors such as force majeure that cause the service under this Service Agreement to be interrupted or terminated. Force majeure means objective events that cannot be foreseen, cannot be overcome and cannot be avoided and that have a material impact on one or both parties, including but not limited to maintenance of information network equipment, failure of information network connections, failures of computers, communications or other systems, power failures, strikes, labour disputes, riots, uprisings, disturbances, shortages of productive capacity or means of production, fire, flood, storm, explosion, war, government acts, changes in laws and regulations, orders of judicial and administrative organs, and other force majeure or inability or delay in providing services caused by the inaction of third parties. Where the above circumstances occur, YuoBao will endeavour to cooperate with the relevant departments at the first opportunity and carry out repairs promptly; however, YuoBao is exempt from liability, to the extent permitted by law, for losses thereby caused to you.

(2) You understand and agree that, to the extent permitted by law, YuoBao bears no liability for interruption or termination of the service caused by the following grounds:

1. Damage caused by computer viruses, trojans or other malicious programs or by hacker attacks;

2. Failure of the computer software, systems, hardware and communication lines of the user or of YuoBao;

3. Improper operation by the user;

4. Use of this service by the user through means not authorised by YuoBao;

5. Other circumstances beyond the control or reasonable foresight of YuoBao.

17. Governing Law and Miscellaneous

(1) The conclusion, performance and interpretation of this Agreement and the resolution of disputes shall all be governed by the laws of China. If any dispute arises between the parties over the content of this Agreement or its performance, the parties shall do their utmost to resolve it through friendly negotiation; if negotiation fails, either party may bring a lawsuit before the people's court with jurisdiction at the place where this Agreement is signed. The place where this Agreement is signed is Hongkou District, Shanghai Municipality, the People's Republic of China.

(2) If any clause of this Agreement is deemed void, invalid or unenforceable for any reason, that clause shall be deemed severable and shall not affect the validity and enforceability of any of the remaining clauses.

(3) Other rights not expressly granted under this Agreement remain reserved by YuoBao, and you must separately obtain YuoBao's written permission to exercise those rights. Any failure by YuoBao to exercise any of the foregoing rights shall not constitute a waiver of that right.
